End User Licence Agreement

This End User Licence Agreement (“EULA”) is a legally binding contract between you and Red Bag Productions governing the installation, access, and use of our software products. Please read it carefully before installing or using any software.

1. Agreement to Terms

This End User Licence Agreement (“EULA” or “Agreement”) is entered into between you (“you”, “your”, “the Licensee”) and Red Bag Productions (“we”, “us”, “our”, “the Licensor”), a company registered in England and Wales.

By downloading, installing, copying, or otherwise using any software product developed or distributed by Red Bag Productions (the “Software”), you acknowledge that you have read, understood, and agree to be bound by the terms of this EULA. If you do not agree to these terms, you must not download, install, or use the Software and should contact us for a refund if applicable.

This EULA applies to all software products, plugins, extensions, tools, applications, and associated documentation distributed by Red Bag Productions, whether delivered via download, physical media, cloud access, or any other means.

Read Before Installing

Installing or using the Software constitutes your acceptance of this EULA. If you are installing the Software on behalf of a company or organisation, you represent that you have authority to bind that entity to these terms.

2. Definitions

Term Definition
“Software” Any software product, plugin, extension, application, tool, script, or programme developed or distributed by Red Bag Productions, including all associated files, libraries, documentation, and media.
“Licence” The limited right granted to you under this EULA to use the Software in accordance with the terms herein and the specific licence type you purchased.
“Licence Key” A unique alphanumeric code provided upon purchase that activates and validates your licence to use the Software.
“Authorised Device” A computer, server, website, or other device on which the Software is installed and activated in compliance with the purchased licence type.
“Update” A modification, patch, bug fix, or minor version release of the Software (e.g. version 1.0 to 1.1).
“Upgrade” A major new version release of the Software (e.g. version 1.x to 2.0), which may require a separate purchase or licence renewal.
“Documentation” User guides, help files, release notes, API references, and any other instructional materials provided with or related to the Software.
“Derivative Work” Any modification, adaptation, translation, enhancement, or work based upon the Software or its source code.

3. Licence Grant

3.1 Grant of Licence

Subject to your compliance with this EULA and payment of all applicable fees, Red Bag Productions grants you a limited, non-exclusive, non-transferable, revocable licence to install and use the Software on the number of Authorised Devices permitted by your purchased licence type, solely for your own personal or internal business purposes.

3.2 Licence Types

The scope of your licence depends on the licence type purchased. The following licence types are available:

3.3 Licence Activation

The Software must be activated using the Licence Key provided to you at the time of purchase. Activation links your Licence Key to a specific Authorised Device. You may deactivate a licence from one device and reactivate it on another, provided the total number of concurrent active installations does not exceed the limit of your purchased licence type.

3.4 Licence Validation

The Software may periodically communicate with our licence servers to verify the validity and status of your Licence Key. This communication transmits your Licence Key, domain name or device identifier, Software version, and IP address. If validation fails (for example, due to an expired, revoked, or invalid Licence Key), certain features of the Software may be disabled until a valid licence is restored.

3.5 Reservation of Rights

All rights not expressly granted to you in this EULA are reserved by Red Bag Productions. This licence does not grant you any ownership rights in the Software. You acquire only the limited right to use the Software under the terms set out herein.

4. Restrictions on Use

You agree that you shall not, and shall not permit any third party to:

Developer Licences

If you hold a Developer or Agency licence, you may install the Software on client websites or devices as part of a project you are delivering. However, each client installation counts towards your licence limits, and you may not provide your Licence Key directly to clients. Clients who wish to manage their own installation independently must purchase their own licence.

5. Intellectual Property Rights

5.1 Ownership

The Software, including all copies, modifications, enhancements, and Derivative Works, is and shall remain the exclusive intellectual property of Red Bag Productions. This EULA does not transfer any title, ownership, or intellectual property rights in the Software to you. You acknowledge that the Software contains valuable trade secrets and proprietary information belonging to Red Bag Productions.

5.2 Copyright

The Software is protected by copyright laws of the United Kingdom and international copyright treaties. All rights, title, and interest in and to the Software, including but not limited to all source code, object code, algorithms, user interfaces, graphics, icons, Documentation, and the selection and arrangement thereof, are owned by Red Bag Productions or its licensors.

5.3 Trademarks

Red Bag Productions, our product names, logos, and branding are trademarks or registered trademarks of Red Bag Productions. You may not use these trademarks without prior written consent, except as reasonably necessary to identify the Software in connection with your permitted use (for example, stating that your website “powered by [Software Name]” where such attribution is required).

5.4 Third-Party Components

The Software may incorporate open-source libraries, frameworks, or other third-party components. These components are subject to their own licence terms, which are included in the Software’s Documentation or in a dedicated licences file. Your use of such components is governed by their respective licences, and nothing in this EULA restricts or modifies those terms. A list of third-party components and their licences is available in the Software’s Documentation or upon request.

5.5 Feedback

If you provide feedback, suggestions, ideas, or recommendations regarding the Software (“Feedback”), you grant Red Bag Productions an unrestricted, perpetual, irrevocable, non-exclusive, royalty-free licence to use, modify, incorporate, and distribute such Feedback for any purpose without obligation or compensation to you.

6. Updates, Upgrades, and Support

6.1 Software Updates

During the support and update period included with your licence (typically 12 months from purchase, or for the duration of a subscription), you are entitled to receive Updates to the Software at no additional charge. Updates may include bug fixes, security patches, performance improvements, and minor feature additions.

6.2 Automatic Updates

The Software may include an automatic update mechanism that checks for and installs Updates when available. You may disable automatic updates through the Software’s settings where such an option is provided. We strongly recommend keeping the Software up to date for security and stability purposes.

6.3 Major Upgrades

Major Upgrades (new major version releases) may require a separate purchase, licence renewal, or subscription. We will clearly communicate when a release constitutes a major Upgrade. If you choose not to upgrade, you may continue to use the last version available under your existing licence, but you will not receive further Updates or support for the older version once the support period has expired.

6.4 Technical Support

During your active support period, you have access to technical support via our support portal. Support covers installation assistance, configuration guidance, bug reporting, and general usage enquiries related to the Software. Support does not include customisation services, integration with third-party systems, training, or assistance with issues caused by unauthorised modifications to the Software.

6.5 End of Support

After your support and update period expires, you may continue to use the last version of the Software you downloaded, but you will no longer receive Updates, security patches, or technical support unless you renew your licence or subscribe to a maintenance plan. Red Bag Productions is not responsible for any security vulnerabilities, bugs, or compatibility issues that arise in unsupported versions of the Software.

7. Data Collection and Privacy

7.1 Licence Validation Data

As described in Section 3.4, the Software transmits limited data to our servers for licence validation purposes. This includes your Licence Key, domain name or device identifier, Software version number, and IP address. This data is processed solely for the purpose of verifying licence compliance and is handled in accordance with our Privacy Policy.

7.2 Usage Telemetry

The Software may collect anonymised usage telemetry data, including feature usage statistics, error and crash reports, performance metrics, and system environment information. This data is used to improve the Software, identify bugs, and prioritise development. Telemetry data is anonymised and aggregated before analysis and cannot be used to personally identify you.

7.3 Opting Out of Telemetry

You may opt out of non-essential telemetry data collection at any time through the Software’s settings panel. Essential data transmissions required for licence validation cannot be disabled, as they are necessary for the operation of the Software under a valid licence.

7.4 User-Created Data

The Software does not access, collect, transmit, or store the content of files, documents, projects, or other data you create or process using the Software, unless you explicitly use a cloud-based feature (such as cloud synchronisation or backup) that requires data transmission. Any cloud-based data processing is encrypted in transit and at rest.

For complete details on how we collect, process, store, and protect your personal data, please refer to our Privacy Policy, which forms part of this EULA by reference.

8. Term and Termination

8.1 Term

This EULA is effective from the date you first download, install, or use the Software and continues until terminated in accordance with this section. For subscription-based licences, this EULA remains in effect for the duration of your active subscription.

8.2 Termination by You

You may terminate this EULA at any time by uninstalling the Software from all Authorised Devices, destroying all copies in your possession (including backups), and ceasing all use of the Software. Termination by you does not entitle you to a refund unless you are within the applicable refund period described in Section 9.

8.3 Termination by Red Bag Productions

We may terminate this EULA and revoke your licence immediately and without prior notice if:

Upon termination of this EULA for any reason:

  1. All rights and licences granted to you under this EULA shall immediately cease.
  2. You must immediately uninstall and remove the Software from all devices and environments.
  3. You must destroy all copies of the Software and Documentation in your possession, including any backups or archived copies.
  4. Your Licence Key will be deactivated and will no longer function.
  5. You will lose access to Updates, support, and any cloud-based features associated with the Software.

Termination does not affect any rights or obligations that accrued prior to termination. Sections of this EULA that by their nature should survive termination (including intellectual property, limitation of liability, indemnification, and dispute resolution) shall remain in full force and effect.

8.5 Subscription Cancellation

For subscription-based licences, you may cancel your subscription at any time through your account dashboard or by contacting our support team. Cancellation takes effect at the end of the current billing period. Upon expiry, the Software may revert to a limited free version (if available) or cease to function, depending on the product. No partial refunds are provided for unused subscription periods.

9. Refund Policy

9.1 Refund Period

Red Bag Productions offers a fourteen (14) day refund period from the date of purchase for software products. To request a refund, you must contact our support team within 14 days of the original purchase date.

9.2 Refund Conditions

Refunds are granted at our reasonable discretion and are subject to the following conditions:

Upon approval of a refund:

  1. Your Licence Key will be immediately deactivated and revoked.
  2. You must uninstall and cease all use of the Software.
  3. The refund will be processed through the original payment method (e.g. PayPal) within 5 to 10 business days.
  4. This EULA will be terminated in full upon processing of the refund.

9.4 Chargebacks

If you initiate a chargeback or payment dispute with your payment provider (including PayPal) without first contacting our support team, we reserve the right to immediately suspend or revoke your licence, suspend your account, and pursue recovery of the disputed amount. We encourage you to contact us directly to resolve any payment concerns before involving your payment provider.

10. Disclaimer of Warranties

10.1 “As Is” Provision

The Software is provided “as is” and “as available” without warranties of any kind, whether express, implied, statutory, or otherwise. To the fullest extent permitted by applicable law, Red Bag Productions expressly disclaims all warranties, including but not limited to:

10.2 No Guarantee of Compatibility

We do not warrant that the Software will be compatible with all hardware, operating systems, browsers, plugins, themes, or third-party software. While we publish system requirements and recommended configurations, compatibility depends on numerous factors outside our control. We will make reasonable efforts to address compatibility issues reported during your active support period.

10.3 Beta and Pre-Release Software

If you participate in a beta or pre-release programme, you acknowledge that beta Software may contain bugs, errors, and incomplete features. Beta Software is provided for testing and feedback purposes only and should not be used in production environments. All warranties are disclaimed with respect to beta Software, and beta versions may expire or cease to function at any time.

UK Consumer Rights

If you are a consumer in the United Kingdom, you have statutory rights under the Consumer Rights Act 2015, including the right to receive digital content that is of satisfactory quality, fit for purpose, and as described. Nothing in this EULA excludes or limits those statutory rights.

11. Limitation of Liability

11.1 Exclusion of Indirect Damages

To the maximum extent permitted by applicable law, in no event shall Red Bag Productions, its directors, officers, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or in connection with this EULA or your use of or inability to use the Software, including but not limited to:

11.2 Cap on Liability

Our total aggregate liability for all claims arising out of or related to this EULA, whether in contract, tort (including negligence), strict liability, or otherwise, shall not exceed the total amount you paid to Red Bag Productions for the specific Software licence giving rise to the claim during the twelve (12) months immediately preceding the event.

11.3 Exceptions

Nothing in this EULA excludes or limits our liability for: death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; or any other liability that cannot be excluded or limited under the laws of England and Wales or your applicable jurisdiction.

11.4 Essential Basis of the Agreement

You acknowledge that the limitations and exclusions of liability set out in this section reflect a fair and reasonable allocation of risk between you and Red Bag Productions, and that Red Bag Productions would not enter into this EULA without these limitations. These limitations shall apply even if any remedy provided herein fails of its essential purpose.

12. Indemnification

You agree to indemnify, defend, and hold harmless Red Bag Productions, its officers, directors, employees, agents, licensors, and suppliers from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

We reserve the right to assume exclusive defence and control of any matter subject to indemnification by you, at your expense. You agree to cooperate fully with our defence of any such claims.

13. Export Compliance

The Software may be subject to export control laws and regulations of the United Kingdom, the European Union, the United States, and other jurisdictions. You agree to comply with all applicable export and re-export laws and regulations. You represent and warrant that:

14. Governing Law and Dispute Resolution

14.1 Governing Law

This EULA shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. If you are a consumer, you may also benefit from the mandatory consumer protection laws of your country of residence.

14.2 Informal Resolution

Before initiating any formal legal proceedings, you agree to first contact Red Bag Productions to attempt to resolve any dispute arising from or relating to this EULA. We will make reasonable efforts to resolve any complaint or concern within thirty (30) days of receiving your written notice.

14.3 Jurisdiction

Any disputes that cannot be resolved informally shall be subject to the exclusive jurisdiction of the courts of England and Wales. If you are a consumer within the European Union or United Kingdom, you may also bring proceedings in the courts of the country in which you are domiciled.

14.4 Limitation Period

Any claim arising out of or related to this EULA must be brought within one (1) year after the cause of action accrues, or the claim is permanently barred. This limitation does not apply where a longer limitation period is mandated by applicable law.

15. General Provisions

15.1 Entire Agreement

This EULA, together with our Privacy Policy, Terms of Service, and any additional product-specific terms referenced at the time of purchase, constitutes the entire agreement between you and Red Bag Productions with respect to the Software and supersedes all prior or contemporaneous agreements, understandings, negotiations, and communications, whether written or oral.

15.2 Severability

If any provision of this EULA is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be severed and the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that most closely reflects the original intent.

15.3 Waiver

The failure of Red Bag Productions to enforce any right or provision of this EULA shall not constitute a waiver of that right or provision. A waiver of any provision shall be effective only if made in writing and signed by an authorised representative of Red Bag Productions.

15.4 Assignment

You may not assign, transfer, or delegate your rights or obligations under this EULA without prior written consent from Red Bag Productions. Any attempted assignment in violation of this section shall be null and void. Red Bag Productions may assign this EULA freely in connection with a merger, acquisition, corporate reorganisation, or sale of all or substantially all of its assets.

15.5 Force Majeure

Red Bag Productions shall not be liable for any failure or delay in performing its obligations under this EULA where such failure or delay results from circumstances beyond its reasonable control, including but not limited to natural disasters, war, terrorism, civil unrest, labour disputes, pandemics, government actions, power failures, internet disruptions, or third-party service provider failures.

Notices from Red Bag Productions may be sent via email to the address associated with your account, posted within the Software, or published on our website. Notices from you to Red Bag Productions should be directed to the contact details provided in Section 16.

15.7 Headings

Section headings in this EULA are for convenience only and do not affect the interpretation of any provision.

15.8 Third-Party Rights

Except as expressly provided herein, this EULA does not confer any rights on any person or party other than the parties to this EULA. No third party shall have any right to enforce any term of this EULA under the Contracts (Rights of Third Parties) Act 1999 or otherwise.
